How to Open a Company in Estonia Online Without Visiting Tallinn

Remote registration, e-Residency, a legal address and the Estonian tax system are what founders ask about first. This guide walks through opening a company in Estonia online with an e-Residency card, getting a VAT number (KMKR) and putting accounting in place, without a single trip to Tallinn.
Why founders open a company in Estonia
Estonia is not a tax haven and has not been described as one for years. It is a working digital administration, and the core advantage is straightforward: 0% corporate income tax on reinvested profit. Tax is due when you decide to distribute dividends, not before.

Step 1: e-Residency status
The e-Residency card is what makes remote management possible. Applications go through the official portal with a passport, a biometric photo and a motivation letter; the state fee is around €120, and you pick a collection point anywhere in the world. Background checks by the Estonian police are thorough, so allow time for them.
One thing to be clear about: e-Residency is digital access only. It is not residency, not citizenship and not visa-free travel in the EU.
Step 2: legal address and authorised contact person
Estonian law requires every company to have a registered office address and, for non-resident boards, an authorised contact person in the country. The contact person is the official channel between the business and the state, which means official notices actually reach someone. We provide both services, so notices are handled and the company stays in good standing with the Business Register (Äriregister).
Step 3: registration in the Business Register
Once the card is in hand, registration takes anywhere from a few hours to one business day.
- 1Company name: verify that it is unique and does not run into an existing trademark.
- 2Share capital: the standard minimum is €0.01. Registration without immediate payment is still possible, but the capital has to be settled before dividends are paid.
- 3Areas of activity: choose the primary activity code from the EMTAK classifier.
Registering an OÜ costs €250. The legal address and the authorised contact person are arranged alongside it.
Step 4: taxes, VAT and accounting
Setting the tax side up promptly is what avoids penalties later.
- VAT (KMKR): mandatory once annual turnover exceeds €40,000. The Tax and Customs Board may ask for a business plan or proof of transactions before granting the number.
- EORI number: needed if you plan to import or export goods outside the EU.
- Accounting: reporting is monthly once you have a VAT number or pay salaries. Bookkeeping starts from €99.9 + VAT per month.
- Annual report: mandatory for every company, including those with no activity, from €80 + VAT.
